I have serious concerns regarding a security on the OTCBB - CBAI.OB. It recently announced a reverse split proxy and has filed a DEF 14A proxy to be voted on in April 2011. My concern is that there is no disinterested Board of Director to represent the retail shareholder. This board is engaged in cronyism and although the company has failed to become cash flow positive two directors (CEO, CFO) were recently ranked in the top 150th with compensation packages exceeding $3 million.

There is another twist to this security. CorCell a stem cell storage company was founded by Independence Blue Cross; a BCBSA independent. In 04' IBC used CorCell to establish a "free" stem donor program for families nationwide who could not afford to bank stem cells needed for a known future transplant.

In 07' CBAI acquired CorCell. My concern is that IBC BCBSA may have passed the expense of storing stems needed for transplant onto shareholders in this security. If so, would that be a violation of fiduciary duty to ensure return on investment (ROI) for investors.

The most recent 100:1 RS and 250 AS DEF 14A proxy is a means to squeeze out ownership in a stock that has to date diluted shareholders with a max out of 7 Billion outstanding shares.

Please let me know your thoughts concerning options. Investment board blogs I frequent have many angered and frustrated by what a majority now believe is potential a scam or an elaborate insurance industry scheme to defraud the investment community.

The way this all reads, one would expect huge storage numbers to be be in the ofting soon. Nobody in their right mind would miss this chance for storage. Either insurance or the storage company will pay for it . Why not do it? The question everybody here has is how much storage has happened since all this recent legislation and how many stores does CBAI have related to this legislation.
