that mentions anything about rules for the price of share acquisition that would indicate that the shares are being sold below market value in the "dilution" process.

My point is, is there ANY evidence anywhere that would indicate that these Regulation D Rule 504 (b)(1)(iii) shares are NOT being sold at market value? If not, then the term "dilution" MAY not be applicable because, by definition, nothing is being diluted.
