If you had plans to go private, why would you add two new board members, create an advisory council, allow the CEO to state "it is not if, it is when Nok will license and pay", stop a buyback appearing to hoard cash like a pack of fall squirrels, post your position in Lte for every shareholder to see and fill the chief scientist position just before making your move? Furthermore, why antagonize you largest shareholder on the institutional side just before you make your play. The biggest thing you must avoid in going private is a highly publicized class action lawsuit. Betty Crocker could not have put better ingredients in cake box. If these guys want their cake, they are going to have to pay more than usual. No privatization effort is the same. Cold hard facts make the case and this one has an additional element of juicyness that would appeal to any trial lawyer.
