not to mention that they are covered under safe harbor. as far as "dilution" goes, apparently they are converting debt from the old shell, and if it turns out they had more debt than they initially thought, there's the explanation. in terms of 'not having a need to return to the capital markets', i'm not even sure debt conversions are viewed the same as 504 shares.
