BillyRay, maybe, just maybe GRSR is breaking with the past (at least they should) to get rid of anything that the former goofball had done with managing this company. If I were GiraSolar I would break away from any and all policies, influence, structure, etc., that was put in place. Delaware, well...we all know that companies do not have to be a Delaware company, and it is very cheap to keep this registration if wanted or needed (just a few hundred bucks).
