If you go to the SEC Website and read about Form 3, 4 and 5 filings;
You'll read that Officers and Directors have a mandatory filing requirement no matter how many shares the Officer or Director holds.

And since the 4.99% beneficiaries are NOT an Officer or Director, they don't have to file!
