If you read the 10Q's filed, there it states the conversions are being issued at 4.99% of OS per pop.

And in the 10Q's it states QMNM issues only 4.99% for the specific purpose of being below the filing requirements required by the SEC.

Since the 4.99% is below the SEC filing requirements, no Insider needs to file with the SEC.
