mike alot of these Ceo's believe that they can do just this, run up untold numbers of o/s's, sell into oblivia and then a r/s is way to all the haunts and this decides damage repair. When a company r/s's once it begins a new its a heavy responsibility on them to make sure this does not occur in the first place. The people responsible for the selling and issuing of shares are the owner's, and in this case the Ceo.

What I don't understand that no one, but no one had the common sense to stop this selling some where down the road. Its not like these people are unknowns, and they did not have the means to take on some debt. Its not as though they have no business backgrounds, and are green in this arena, quite the contrary.

The products are one thing, but without credible people at the helm of this company, nothing is gonna work. Even today we still see selling. The company and its sharecount is at the core of all they do, and if they illustrate recklessness and greed, and plus considering this is not a senior its a pink and integrity, and honesty has to be at the forefront more than a senior, if the lack of this is shown here, it will always be here, money and an easy way to obtain it, like a no limit credit card, shows a real lack of taking on serious responsibilities to the company and its shareholders. This is disturbing considering what has happened to the share price in a relative short period of time, as well as this outrageous share count.

Let us do a hypothetical..........and do an average selling price of .25 a share times 177 million. This is by no means accurate but if we use the 3.50 and 8 million shares approx we can easily come up with a 44 million dollar figure. We can do .10 and come up with $17mn or .05 and come up with $10mn dollars, but the point is they have to have the proper filings in place to do this, and $12 million is all that a pinksheet can raise within a given year. This would require filing a 505 and 506 with SEC, in conjunction with a 504.

This is the situation with a pinksheet, selling shares and having filed a 504D, allows them to sell only a million dollars of shares to accredited investors within a 12 month period. We can see this number easily exceeds this no matter how we fashion it. The only other way this can happen is if they have other filings. With these filings they can raise up to 12 million dollars but these shares would without question have to be restricted for 2 years. All the free trading shares sold can only total a million dollars and within a 12 month period.

If they are selling unregistered shares then the sky is the limit, and in addition to this I doubt that its even legal.
