This was tossed around a bit already but the line above the paragraph you pasted leads one to think ZDSG will be the merge partner..Otherwise they would have just said "acquisition" in the following paragraph..imo..The two subs are to be 100% acquired..This line implies a merge which is used in your paragraph..Due to the share payment..All speculative until the info comes from the company..
