RE: CMKM Task Force

Dear Bill:

This correspondence is in follow up to my conversations with CMKM management and our prior discussions relating to the completion of our assigned task as the "Task Force" in determining the bona fide stockholders of CMKM Diamonds.

Pursuant to our conversations and as a recommendation of the Task Force it is my understanding management has agreed to interplead the 45 million share Entourage certificate, which is being held for the distribution to the CMKM stockholders. We have agreed, based upon review by outside counsel, the best method for such distribution is to attempt to obtain Federal court approval of the distribution.

In light of the resources which were made available to you for purposes of establishing the bona fide stockholders of CMKM, you and staff have done a remarkable job. Mr. Maheu and I appreciate the hard work. We are hopeful that the work product which you generated will provide the basis for an orderly and fair distribution of the assets of CMKM.

From the time of Mr. Maheu's resignation in October of 2005 and waiver of all compensation due from CMKM, our resignation as counsel, and the subsequent contract with Entourage, Mr. Maheu and I have attempted to assist in facilitating the orderly distribution of assets of CMKM. Since the Task Force, by design, was set up for one intended purpose, the establishment of the distribution list and the subsequent distribution of the assists of CMKM, we believe the Task Force has carried the ball as far as possible, without incurring significant, non-compensation obligations or liability. CMKM management must now take our recommendation to the next step.

As a result of the mutual decision and recommendation of the Task Force to interplead the Entourage certificate, Mr. Maheu and I have determined that our services are no longer required, and thus respectively resign as members of the Task Force. This resignation should be considered effective on the date set forth above.
