I am sure (but don’t know) if I was doing this deal I would do exactly what you suggest, Hayter and Crew are responsible for any liabilities prior to the date of the closing, if it were me I would have a strong clause in the contract for complete indemnification and maybe the escrow of some funds for perceived liabilities. And who really knows what clauses are in the deal I have not seen the contract
