Lack of Market

Prior to our common stock qualifying for quotation on the Over-the-Counter Bulletin Board (the “OTCBB”) under the symbol “INDQ” in November 1999, the common stock only minimally traded. In 2000, our common stock was removed from the OTCBB. All trading activity is currently quoted in the “pink sheets” under the symbol “BCIT.” We were advised by DTC that it would not provide settlement services for transactions in our common stock due to the existence of Invalid Certificates. We currently believe that DTC will once again provide settlement services for transactions in our common stock once the Stock Certificate Litigation is resolved, although there are no assurances DTC will do so.
