However, could they not have called for the revaluation and the issuance of unreg shares by virtue of the agreement without a filing? The PR infers they claimed the revaluation that would have gained them the pure "share power" -- or am I reading that wrong?

How many legs does a dog have if you call the tail a leg? Four; calling a tail a leg doesn't make it a leg.
