Can you explain how the restricted stock works?

For others, with regard to your reference to 2000, the exercises were:

Peter, PREsplit, 175,000 shares for $3,085,250 exercised
SKS, PREsplit, 80,000 shares for $2,695,200 exercised
Feeney, PREsplit, 200,000 shares for $4,884,500 exercised

What I don't see, and confuses me on the filings, is a Form 4 on each of these. What am I missing? Is there a different form that I'm overlooking. These numbers come from the Def 14A. I'm missing the cost of the option. Can someone point me in the right direction?

This is of interest to me, because I am currently looking at board transactions.
