re: Yucatan's ownership. Perhaps Darrell can confirm more specific's on this but from some research I did on their filings a few days ago >>

http://www.investorshub.com/boards/read_msg.asp?message_id=18304472

Now from the 11-17-2000 13D
http://www.sec.gov/Archives/edgar/data/1093192/000095014400014201/0000950144-00-014201.txt

It seems Yucatan has:

1,694,700 shares of common stock

1,937,550 shares of Special Preferred Stock
(from above - Special Preferred Stock - The voting rights of the Special Preferred Stock is to be determined at the time of issuance.)

It also says ...."pursuant to the terms of a Stock Purchase Agreement (the "Stock Purchase Agreement") by and among McNulty, the Yucatan Group (as defined below) and the Company, McNulty purchased from the Yucatan Group 6,187,500 shares (the "McNulty Shares") of the Company's Series A Special Preferred Stock".....
(From above - Class A Special Preferred Stock - Each share of Class A Special Preferred Stock is entitled to two votes per share.)

So Yucatan had/has 6,187,500 shares of the Series A Special Preferred shares too?

Is this the provision that expired with that agreement, so that Yucatan retains control of the 6,187,500 shares of preferred class A shares, and control of the company??
