Reverse Merger with South American Copper Ltd [sources: PR April 29, 2026 and PR May 13, 2026]

- Positions a development-stage Bolivian gold, copper and silver project within a US public company platform.

- $EVLI has acquired 100% of South American Copper’s mining business and continues as the surviving public reporting company.

- South American Copper - through its Bolivian operating subsidiary Minerasac S.A. S.R.L. - controls a large-scale mineral project in the Ascensión de Guarayos region of eastern Bolivia, including gold, copper and silver mineralization across multiple volcanogenic massive sulfide zones, together with related surface rights, infrastructure and operating permits.

- Intended to combine South American Copper’s development-stage mining assets with $EVLI's public company platform to support future development, expanded exploration and access to US capital markets.

- Project includes 4 contiguous concessions covering approximately 42,175 hectares, substantial historical drilling and assay data, active test production history in the C-Zone and a phased development plan directed at expanded gold and copper production.

- Test mining has been conducted in the C-Zone since 2014 using a gravity recovery process, which management believes distinguishes the project from earlier-stage exploration-only opportunities. 

- Management has established a 11-Point Strategic Roadmap to support development of the combined business, transition to full SEC reporting status, broader market access, and pursuit of a senior U.S. exchange listing. So we can expect regular PRs / updates throughout 2026 as the plan progresses.
