Flipper, A buyout with cash upfront, as in an exclusive licensing, is still a "buyout in slow motion" or selling a part of the business upside, but I get it. That is common and logical too, and the key would be in the details. I would prefer equity for cash and key management adds to run the new "commercial" side of business.
