The purpose of the blocker agreement was so that shares did not need to reserved against those options & warrants. This allowed LP to go longer before requesting another increase in Shares Authorized.

The blocker agreement would be fine except for extending the term of the warrants/options in return for blocking. LP does LP another solid.
