FlooidCX’s Incredible Business Claims
Apart from their countless false claims and pretenses regarding the magnetically-geared electric flywheel which they have called the “Earth Engine” or “Photon Engine,” FlooidCX Corp. has made a series of increasingly incredible business claims and representations, which appear highly inconsistent with the company’s apparent lack of any salable product whatsoever. These representations have appeared on the company’s website at qree.energy and qqqq.energy, in press releases distributed to many websites, and in reports submitted to the SEC.
FlooidCX has claimed to have made several distributorship and licensing agreements with companies in four different countries, from which it has claimed the receipt of tens of millions of dollars in “Distributor License Fees.” I can see no way to reconcile these claims with the company’s apparent lack of any salable commercial product whatsoever. The “Products” page of FlooidCX’s website does not list a single product available for sale, distribution, or licensing. and I can find no evidence that FlooidCX has ever produced a salable commercial product capable of supporting bona fide distributorship agreements such as FlooidCX has claimed. In particular, any company that agreed to distribute the magnetically-geared electric flywheel which FlooidCX calls a “Photon Engine” would soon discover the falsity of FlooidCX’s fraudulent claims that it is powered by “magnetic propulsion” and can “amplify energy.”
This raises the suspicion that the reported distributor license fees may not reflect revenue derived from a genuine commercial distributorship relationship, but instead represent payments unsupported by any underlying product or any license of any actual value — in other words, “sham revenue,” presented in a manner designed to mislead and deceive investors regarding the company’s actual business prospects and financial condition.
As FlooidCX’s business and revenue claims grew more and more incredible, in view of their apparent lack of any salable product, FlooidCX appears to have found it increasingly difficult to retain an auditor willing to accept and confirm them in reports to the SEC. In fact, FlooidCX recently became entangled in a legal dispute with one of their latest auditors, over an unpaid invoice from the auditor of $58,000, as FlooidCX itself has admitted in reports to the SEC. It appears that FlooidCX had to find a different auditor in order to file their most recent financial reports to the SEC. Did the dispute arise because the auditor found it quite impossible to verify the distributorship agreements and revenue that FlooidCX wished to report to the Securities Exchange Commission? This remains to be seen by the world at large.
Taken together, the combination of repeated claims of very large revenues from agreements with supposed distributors, the apparent lack of any salable product, and the admitted dispute with auditors suggests that FlooidCX’s claims regarding distributorship agreements and revenue may be just as misleading, deceptive and fraudulent as their claims regarding the capabilities of the magnetically-geared electric flywheel they call a “Photon Engine.”
On their website at qqqq.energy/distributor_locator.php FlooidCX provides a map of the USA which purports to show the approximate location of over a dozen “Distributors.” But the map does not provide the physical address, email address, or phone number of any of these “Distributors” – it merely provides their company names, along with the phone number of FlooidCX itself. I have searched the internet for any corroboration, apart from FlooidCX’s news releases, of the notion that any of the named companies have actually made bona-fide agreements with FlooidCX to serve as distributors for FlooidCX, and found NO corroboration whatsoever. I have also found on the internet no trace or indication whatsoever, apart from FlooidCX’s press releases, of any attempt or intention of any of the claimed distributors to distribute any of FlooidCX’s imaginary products.
Not long after posting a series of highly deceptive and fraudulent “demonstration” videos on their “Quantum Energy” YouTube channel (which FlooidCX claimed to be “educational”), FlooidCX began issuing news releases claiming that FlooidCX had made agreements with “Distributors” in several countries, including the USA, Canada, the Philippines, and Mexico, by which the Distributors would pay FlooidCX for the right to distribute FlooidCX’s imaginary products – even though the “Products” page of FlooidCX’s website has never shown or listed any product at all, and even though FlooidCX’s website has also never included the contact information for a single one of the claimed “Distributors.”
FlooidCX news release dated Mar 6, 2024: “Quantum Energy Corporation Completes First Quantum Licensed Distributor Agreement”
“PHOENIX–(BUSINESS WIRE)–Quantum Energy Corporation (The “Company” or “Quantum”) [OTCPink: FLCX], a worldwide exclusive licensee and manufacturer of transformative Direct Energy Systems for the direct generation and distribution of electrical energy owned by and for use of the consumer, today announced it has finalized its first Licensed Distributor Agreement (“Agreement”) with Viridis Energy Partners, Inc., (“Viridis”), of Monroe, Michigan. The Agreement, now executed on March 4, 2024, was made effective December 22, 2023.”
“Revenue from the Agreement consists of a license fee to Quantum of $500,000 with an additional $1,500,000 in stocking inventory of Quantum Direct Energy System products.”
“Viridis will be announcing its office and facility location within the month. Quantum will be announcing the opening of its first Michigan service facility and offices by the end of this month.”
“Viridis will offer the entire Quantum product line, which now exceeds over 400 products and services, and will also be involved in commercial testing of the new Quantum solar (photovoltaic) product line…”
https://www.businesswire.com/news/home/20240306977901/en/Quantum-Energy-Corporation-Completes-First-Quantum-Licensed-Distributor-Agreement
This reference to the “Quantum solar (photovoltaic) product line” was released to the world less than one year after Dustin Hamby, a FlooidCX executive, told investors at a Planet MicroCap convention in April 2023 that ““We don’t have to have transmission lines, because we’re creating the power where it’s consumed. We don’t need any sun, wind, hydro, it’s just the pairing of the permanent magnets.” So in less than a year, FlooidCX went from telling the world that they “don’t need any sun” to “create energy” with their revolutionary “engine,” to claiming to have made an agreement with a supposed distributor to test FlooidCX’s “solar product line.”
Considering that FlooidCX has never shown, listed, or named any product at all on the “Products” page of FlooidCX’s website, and considering that I have never found any evidence that FlooidCX has ever produced any salable product at all, this claimed agreement seems extremely implausible.
Furthermore, I can find on the internet no trace or indication whatsoever, apart from FlooidCX’s news release, of any attempt or intention of Viridis Energy Partners, Inc to distribute any of FlooidCX’s imaginary products. Here is the only information I could find on the internet involving this company, apart from FlooidCX’s press release: https://www.bizapedia.com/wy/viridis-energy-partners-inc.html
Will FlooodCX’s claims to have made a distributorship agreement with Viridis Energy Partners, Inc, by which Viridis will pay FlooidCX a total of $500,000 for the right to distribute FlooidCX’s imaginary products, along with another $1,500,000 for a stock of the imaginary products themselves, turn out to be just as fraudulent as FlooidCX’s claims and pretenses that their magnetically-geared electric flywheel is actually a transformative “engine” powered by permanent magnets, that can even “amplify energy?” That remains to be seen by the world at large.
FlooidCX News Release dated May 19, 2024: “CORRECTING and REPLACING Quantum Energy Corporation Announces Completion of Second Licensed Distributor Agreement with Viridis Energy Partners:”
“Quantum Energy Corporation (“Quantum” or “the Company”), a worldwide exclusive licensee and manufacturer of the transformative Quantum Direct Energy System for the commercial, government and consumer energy markets, today announced it finalized a second Licensed Distributor Agreement (“Agreement”) with Viridis Energy Partners, Inc. (“Viridis”). The Agreement was executed on March 8, 2024.
“The Viridis Arizona Distributorship will initially employ a staff of about 25… Revenue from the Agreement is in the form of a License Fee to Quantum of $500,000 with an additional $1,500,000 in stocking inventory of Quantum Direct Energy System products.”

FlooidCX News Release dated May 6, 2024: “Quantum Energy Corporation dba flooidCX Corp [OTC: FLCX] Executes Licensing Agreement in the Philippines”
“PHOENIX–(BUSINESS WIRE)–(The “Company” or “FLCX”) [OTC:FLCX], which has recently voted to change its name to Quantum Energy Corporation, is a worldwide exclusive licensee and manufacturer of transformative Direct Energy Systems for the direct generation and distribution of electrical energy, owned by and for use of the consumer, today announces it has executed a Manufacturing and Distribution Agreement (“Agreement”) with ARC Energy, Inc. Dustin Hamby, of course, is the same FlooidCX executive who made the blatantly fraudulent presentation to investors at the MicroCap convention, just a month before the date of this claimed agreement.
Over 18 months have gone by since the supposed signing of this agreement and $3,000,000.00 license fee purchase, and apart from FlooidCX’s news release, I have found on the internet no trace or indication whatsoever of any attempt or intention of ARC Energy Inc to distribute any of FlooidCX’s imaginary products.
Will FlooodCX’s claims to have made a distributorship agreement with ARC Energy, Inc, in which Arc Energy paid FlooidCX $3,000,000.00 for the right to distribute FlooidCX’s imaginary products, turn out to be just as fraudulent as FlooidCX’s claims and pretenses that their magnetically-geared electric flywheel is actually a transformative revolutionary “engine” powered by permanent magnets, that can “amplify energy?” That remains to be seen by the world at large.
FlooidCX News Release dated April 9, 2024: “Quantum Energy Corporation dba/ FlooidCX Corporation [OTC: FLCX] Completes Fourth Licensed Distributor Agreement”
“PHOENIX–(BUSINESS WIRE)–Quantum Energy Corporation dba/ FlooidCX Corporation (The “Company” or “Quantum” or “FLCX”) [OTC:FLCX], a worldwide exclusive licensee and manufacturer of transformative Direct Energy Systems for the direct generation and distribution of electrical energy, owned by and for use of the consumer, today announces it has finalized its fourth Licensed Distributor Agreement (“Agreement”) with BD Energy, LLC., (“BD Energy”), of Tulsa, Oklahoma. The Agreement was executed on March 29, 2024, and is now effective.”
“Quantum now has Licensed Distributors in Arizona, Michigan, Washington, and Oklahoma.”
“As a part of the licensing agreement, Quantum will be opening a service and distribution office in the Tulsa area by early fall of this year to support BD Energy, which will include a Quantum mechanical and stocking warehouse operation.”
“Revenue from the Agreement is in the form of a License Fee to Quantum of $1,500,000.00 with an additional $3,000,000.00 in stocking inventory of Quantum Direct Energy System products.”
“BD Energy will offer the entire Quantum product line which now exceeds over 400 products and will also serve as the beta site for the commercial testing of Quantum direct current heat pumps and air conditioning units. BD Energy will also be involved in Quantum’s SAFE battery storage systems, which provide up to five (5) days of emergency or backup electrical power, eliminating the need in most applications of installing a natural gas generator.”
https://www.businesswire.com/news/home/20240409064957/en/Quantum-Energy-Corporation-dba-FlooidCX-Corporation-OTC-FLCX-Completes-Fourth-Licensed-Distributor-Agreement
Here FlooidCX claims that the supposed distributor, BD Energy LLC, has agreed to pay FlooidCX a total of $4,500,000.00 in order to distribute FlooidCX’s product line of over 400 products – not a single one of which have ever been shown or listed on FlooidCX’s website.
I can find on the internet no trace or indication whatsoever of any attempt or intention of BD Energy, LLC to distribute any of FlooidCX’s 400 imaginary products.
Will FlooodCX’s claims to have made a $4,500,000.00distributorship agreement with BD Energy LLC turn out to be just as fraudulent as FlooidCX’s claims and pretenses that their magnetically-geared electric flywheel is actually a transformative revolutionary “engine” powered by permanent magnets, that can even “amplify energy?” That remains to be seen by the world at large.
FlooidCX News release dated Oct 27, 2025: “Quantum Energy Corporation dba flooidCX Corp. Executes $33MM Master Licensing Agreement for Mexico In Cooperation with CONSTRUCTORA ELÉCTRICA LATINOAMÉRICA, S.A. de C.V., Mexico Master Licensed Distributor”
“PHOENIX–(BUSINESS WIRE)–(The “Company” or “Quantum”) [OTC:FLCX], FlooidCX Corp. dba Quantum Energy Corporation, worldwide exclusive licensee and manufacturer of transformative Direct Energy Systems for the direct generation and distribution of electrical energy, owned by and for use of the consumer, today announces it has executed a Standstill Agreement which will include an Exclusive Manufacturing and Licensed Distribution Agreement (“Agreement(s)”) with CONSTRUCTORA ELÉCTRICA LATINOAMÉRICA, S.A de C.V., (“CEL” or “Master Licensee”), located at San Agustín 12, San José de los leones 1a sección, Naucalpan de Juárez Estado de México, México.”
“The Standstill, interim licensing and related funding Agreement was executed and made effective on October 6, 2025.”
“The initial US$33MM financial commitment includes a US$13MM licensing fee, and an additional US$10MM to be invested initially in Mexico for manufacturing. The licensing fees will be credited towards active Direct Energy System installations in the United States by the end of this month. The Company will also fund an additional $10MM into manufacturing for Direct Energy Systems in Mexico during fiscal year 2026.”
“Quantum’s domestic Mexico office will be located at Av. Adolfo López Mateos No. 12, Col. Santa Cruz del Monte, Naucalpan de Juárez, Estado de México, C.P. 53110, México, and temporarily supervised by the Master Licensee.”
“Mr. Jorgiade Juarez, CEO of CEL stated, “This concludes many months of diligent work on this cooperative opportunity in Mexico…”

In the case of this claimed distributor, not only can I find on the internet no trace or indication (apart from the news release) of any attempt or intention of CONSTRUCTORA ELÉCTRICA LATINOAMÉRICA to distribute FlooidCX’s imaginary products – I can find no trace of any activity by this company at all. I can also find no trace of any CEO named “Jorgiade Juarez.”
Will FlooodCX’s incredible claims to have made a $33,000,000.00 distributorship agreement with CONSTRUCTORA ELÉCTRICA LATINOAMÉRICA turn out to be just as fraudulent as FlooidCX’s claims and pretenses that they have invented a revolutionary “engine” powered by permanent magnets, which is able violate the laws of physics and “amplify energy?” Once again, that remains to be seen by the world at large.
According to FlooidCX’s news releases, FlooidCX has received over 42 million dollars in fees from distributors, in return for the right to distribute FlooidCX’s imaginary products – yet apart from the news releases themselves, I cannot find on the internet the slightest trace or indication of any attempt or intention of any of the named distributors to distribute any of FlooidCX’s imaginary products. Will FlooidCX’s claims of distributorship agreements turn out to be just as fraudulent as FlooidCX’s claims and pretenses that Dennis Danzik’s magnetically-geared electric flywheel is actually a revolutionary “engine” powered by “magnetic propulsion?” That remains to be seen by the world at large.
FlooidCX’s Form 10-K report to the SEC for the fiscal year ended December 31, 2024 was not filed to the SEC until October 31, 2024 – several months after its due date. The paragraph entitled “ITEM 3. LEGAL PROCEEDINGS” of this 10-K report states:
“As of the date of this Report, the Company has begun the process of starting arbitration in a matter involving its former auditors over what the Company believes is overbilling. The Company dispute involves approximately $58,000.00 claimed due by the former auditor. At this time the Company’s claims have not yet fully been made but are significantly more than the single claim of the opposing party.” (See https://www.otcmarkets.com/filing/html?id=18880089&guid=D_t-k6qJChP2B3h )
Did this dispute over the former auditor’s unpaid invoice of $58,000 arise because the former auditor found that FlooidCX’s claims regarding revenue from distributorship and licensing agreements could not be verified? That remains to be seen by the world at large.
BD Energy will also be involved in Quantum’s SAFE battery storage systems, which provide up to five (5) days of emergency or backup electrical power, eliminating the need in most applications of installing a natural gas generator.”

The licensing fees will be credited towards active Direct Energy System installations in the United States by the end of this month. The Company will also fund an additional $10MM into manufacturing for Direct Energy Systems in Mexico during fiscal year 2026.”
