Let’s be clear, merging with that Nasdaq bank makes no sense right now.

Primior Holdings might close the year with around $6 million in revenue and solid margins, but it’s still early. That’s not enough strength to walk into a Nasdaq merger with confidence. Meanwhile, the Nasdaq bank itself is already in distress. So what exactly does GRLT bring to that table? Nothing meaningful, and worse, by merging, we’d actually drag their situation down even further.

If both sides are weak, what happens next? We’d give up equity, take on massive dilution, possibly billions of new shares, and lose all of our upside. Down here on the OTC, GRLT can move fast. A run from $0.0014 to $0.10 is a 66x move, and with the right news, that’s possible within weeks. But once you’re on Nasdaq, that same kind of return takes years.

Now imagine merging into a distressed Nasdaq ticker trading near the minimum listing threshold. What do you think a short seller would do when they see that? They’d attack the weakness, drive the price down, and before long, the listing could be at serious risk. GRLT could easily see itself back in the OTC, but now with the burdens of a bank on its shoulders.

On top of that, what are we inheriting from this bank? Staff salaries, ongoing liabilities, regulatory burdens, all that just adds weight and drains resources. Instead of focusing on growth and building Gaia, we’d be stuck paying for their operational costs and cleaning up their mess. That’s not the path to value creation.

Meanwhile, GRLT, with no convertible debt, no toxic notes, and preferred shares held by the CEO, is clean.

Yes, it was me who helped convince everyone that this merger was a bad idea, and I’m proud of it. I put all of my effort into turning that vote around because people needed to wake up to what they were really holding and what they should do. I helped create that awareness, and that’s something I stand by firmly.

Anyone saying we should “stop talking about the ATS” clearly hasn’t done even an ounce of real due diligence. The ATS isn’t negative, it’s the key. If you don’t get that, maybe you shouldn’t be in GRLT at all. Go buy GTVH instead; I’m sure Tom Zorro would appreciate the support.
