If you are technically correct, LP seems to have once again found a legal loophole and avoided disclosing to shareholders what she just sold to them.

Furthermore, since the deal is already closed, without NW shareholders having any idea what they bought, are you not concerned at all?

All we know so far is that LP is going to get the $8 million or so owed to Advent (which was her) and $1.4 million initial payment. We don't know the financial health of Advent (or its ability to continue as a going concern) nor do we know what the milestone payments are.

What if.... hypothetically speaking, you come to find out in January 10K that Advent has no revenue and massive liabilities? At that point it is way too late for any shareholder recourse. The fact that LP indemnified herself , employees and directors from any criminal or civil action in the latest S3 would be extremely concerning to me. To say the least.

I am not a shareholder, for these and other obvious reasons, but please tell me, are you not concerned at all, not knowing almost anything about this transaction?

I wish all involved the best of luck, there is just too much murky stuff going on with this company for my taste and my money, to date. This includes the deafening silence regarding almost 2 years into the MAA process.
