TOP 10 REASONS TO BE WARY OF BIEL

1. The A/S is 25 BILLION and the O/S is 24.7 BILLION.
2. The patents all expired in 2021 due to non-payment of maintenance fees.
3. All the Officers except one (the CEO) have left the company.
4. Annual Revenues are steadily declining (see post #339,351)
5. The company only reports financials ANNUALLY (Pink Limited tier on otcmarkets.com).
6. The Company Profile page on otcmarkets.com contains errors and omissions. If otcmarkets.com finds out, the ticker will fall to "Expert Market," because one of the few requirements of "Pink Limited" is verifying that Profile.
7. The company decided not to renew the CE Mark or UKCA which means no more sales in Europe or the UK.
8. No transparency. When the company terminated the Synergy Deal they didn't tell shareholders for 17 months and when they decided not to renew the CE Mark they didn't tell shareholders for a year.
9. The Charter (if/when revived) has no provision for shareholder voting. Only the BOD members can vote on anything. IF an entity wanted to take over or "buy out" the company, they could do so without buying common stock -- they would merely need to be named to the BOD.
10. The CEO and COB have converted and dumped billions of shares since 2017 and currently hold $$$ millions in convertible debt. The COB currently owns zero shares and the CEO currently owns 37 million shares.

11. On Sept 30, 2025, BIEL’s landlord, FH Properties LLC, filed a “Failure to Pay Rent” complaint against BIEL in Frederick County District Court. The case was resolved on 10/10/2025.

12. In September 2025, a rumor circulated about Electrome (Electro Therapeutics) distributing the ActiPatch, based on two web references to ActiPatch being their first offered product. Electrome has since removed all web references to ActiPatch except this on their website:
