I believe you’re misinterpreting the rule. You’re quoting real SEC guidance, but leaving out one critical nuance: The 60-day clock restarts when a material amendment is filed.
What the SEC actually means by “60 days after the filing date”:
Yes, the Form 10 automatically goes effective 60 days after filing, but only if there are no substantive amendments filed during that window. I believe you’re treating the “initial filing date” as locked in as if amendments don’t matter, which is incorrect.
