Enhanced Transparency and Reporting:
The OTCID Basic Market will require companies to subscribe to the OTCID Disclosure & News Service (DNS) and provide current disclosures through DNS, the SEC's EDGAR system, or SEDAR (available in 2025).
Management Certification:
Companies must complete a management certification (or a 12g3-2(b) certification for foreign companies).
Verified Company Profile:
Companies will need to maintain a verified profile on otcmarkets.com through OTCIQ.
Transfer Agent Verification:
Companies will need to provide data about their shares through the Transfer Agent Verified Shares Program, or directly to OTC Markets if they act as their own transfer agent.
Consequences of Non-Compliance:
Companies that fail to meet the OTCID standards by July 1, 2025, will be relegated to the Pink Limited or Expert Market tiers, signaling a lack of compliance to investors.
