Accredited investors are individuals or entities deemed by the SEC to be financially sophisticated and capable of understanding and managing the risks associated with investments in unregistered securities, such as those offered in private placements. They have access to private market opportunities that are not available to the general public.
Individuals can qualify as accredited investors by meeting specific income or net worth thresholds set by the SEC. Additionally, individuals holding certain professional certifications in the financial industry, like Series 7 or Series 65 licenses, also qualify.
Entities that qualify include banks, insurance companies, investment companies, and others with assets exceeding certain thresholds or where all equity owners are accredited investors.
Key Criteria for Individuals:
Net Worth:
A net worth exceeding $1 million, excluding the value of their primary residence, individually or jointly with their spouse.
Annual Income:
An annual income of at least $200,000, or $300,000 when combined with a spouse or spousal equivalent, in each of the two most recent years, and a reasonable expectation of reaching that level in the current year.
Professional Certifications:
Holding certain financial industry certifications, such as Series 7, Series 65, or Series 82 licenses.
In essence, accredited investors are deemed to be knowledgeable about the risks involved in investments, and they are allowed to participate in private offerings that are not subject to the same level of regulatory scrutiny as public offerings.
