sounds to me like Plug feels there will be lawsuits coming down the road from either huge losses or bankruptcy and those lawsuits always involve the top management being charged with failing their fiduciary responsibility....

management wants to get ahead of all that so they are not held personally liable...seems like a roundabout way of being indemnified...but instead of management making it so, they can claim that shareholders voted it make it so...
