If $TWOH is/was a Canadian company it would be a foreign company trading in the USA. 

It is not a Canadian company as it is domiciled in the USA. 

My response was to your post with links from a law dirm discussing processes and procedures on M&A with Canadian companies.

I asked a simple question and you still haven't answered it.  The two links you provided, does a USA company have to follow Canadian M&A guidelines? You know, the links you provided?
