The below is why the T/A was able to update the SS. When OTC Markets is reviewing a Change in Control, the status of OTCIQ access and transfer agent updates depends on specific circumstances:
OTC Markets Review Process:
During a review for a Change in Control, OTC Markets often places the issuer under increased scrutiny to ensure compliance with disclosure requirements.
This may lead to temporary restrictions on certain actions, such as updating information directly via OTCIQ, until the review is completed.
Transfer Agent Updates:
Transfer agents operate independently of OTC Markets and manage the security's shareholder records. If the transfer agent is still able to update security details (like shares outstanding or authorized shares), it suggests they have not been instructed to restrict activities by the issuer or a regulatory body.
The ability of the transfer agent to make updates does not necessarily indicate whether OTCIQ access is open or closed.
