Under advice of counsel who let him know it wouldn't be worth his time to fight... the criminal raid on share price occurred.

Realizing that what he was going to put up wasn't still compliant(under Sarbanes-Oxley need for) and knowing that with the intensity of market makers hell bent on using teams of profesionals to further deligitimize what could have been put up on their web site that day, they moved to just sitting tight until such time as they could file properly.
