On March 2, 2021 Charlotte’s Web entered into an agreement with the option to purchase Stanley Brothers USA Holdings Inc. On April 16, 2021 the Company’s signed an agreement . In the agreement, the Stanley Brothers stated they were starting a new company. Ten Days Later on April 26, 2021 the new company formed was named AJNA Biosciences and Incorporated in Delaware. There is no mention of that entity being a part of the Stanley Brothers USA Holding Company. Three days later AJNA filed a registered ®? Trademark with the USPTO. In the April 16, 2021 agreement, the company mentioned they were starting a new company in no way similar to the company they did form. If AJNA Biosciences is not a subsidiary of the Stanley Brothers USA Holding Company, then AJNA is not a part of the agreement that was agreed to on March 2, 2021. The idea or speculation that Stanley Brothers USA Holdings changed their name to AJNA Biosciences and started branding Psychedelics is just misleading speculation that does not merit any Real Substance of Logical Reasoning. The Formulation of AJNA Biosciences appears to benefit the Stanley Brothers and their Cronies and not the shareholders of Charlotte’s Web. It also appears that the 8 Million Dollar payment for an option to purchase Stanley Brothers USA Holding Company is a NOTHING BURGER. If any of YQU Woke individuals can prove that AJNA Biosciences is under the Control of the Stanley Brothers USA Holdings Company then YQU have No Worries at All. In order to search Delaware Corporations there is a Fee to research the By Laws. The other concern is what happened to the CW Labs Division? It doesn’t appear to be any MJ sales coming in the future by Charlotte’s Web as well. The Seven Dwarfs are focused on a new adventure that doesn’t include Charlotte’s Web. The Moral of the Story. This Amending Agreement to the Name and Likeness and License Agreement (this "Amending Agreement") is made to effective as of April 16, 2021 ("Effective Date"), by and between Leeland & Sig LLC d/b/a Stanley Brothers Brand Company, a Colorado limited liability company ("Licensor"), Charlotte's Web, Inc., a Delaware corporation ("CWB"), and Charlotte's Web Holdings, Inc., a British Columbia corporation ("Pubco" and together with CWB, the "Licensees"). Licensor and Licensees shall be referred to herein collectively as the "Parties" and each may be referred to individually as a "Party."


WHEREAS, the Brothers have formed Stanley Brothers USA Holdings, Inc. (“SB”), which is (and/or expects to be) engaged in (i) research, development, creation, formulation, testing, manufacture, advertising, promotion, marketing, offer for sale, sale, and/or distribution of products containing or constituting Marijuana (whether medicinal, recreational, or otherwise) (“Marijuana Products”) and/or constituting non-cannabis plant medicines (“Plant Medicine”), presently and/or potentially including without limitation, in the form of foods (including chocolates and gummies), beverages, dietary and nutritional supplements (including in the form of tinctures), smoking articles (including vaporizers and cartridges), and plant material/parts, (ii) related education and outreach services, and (iii) advertising and sale of related clothing, accessories, and merchandise (subsections (i), (ii), and (iii) collectively, the “SB Business”);

“WHEREAS, the Brothers propose to form a new company for the purpose of engaging in non-dietary supplement hemp and/or CBD-based foods (including chocolates and those products more particularly described in the SB Hemp Co. Option Agreement, as defined in Section 3.16 below ), beverages, and smoking articles (including vaporizers, cartridges, and/or combustible inhalables (including cigarettes)) (“SB Hemp Co.”);

Charlotte’s Web Holdings (TSX.CWEB) has announced that it has entered into an Option Purchase Agreement with Stanley Brothers USA Holdings, Inc – a privately-held Delaware company along with the shareholders of Stanley Brothers USA.

Stanley Brothers USA is a cannabis wellness incubator currently operating in three states – Colorado, California, and Florida – with expansion plans underway in eight additional states.

The Option has a five-year term – extendable for an additional two years) and provides Charlotte's Web the optionality to acquire Stanley Brothers USA on the earlier of three years from the effective date of the Option and federal legalization of cannabis in the United States, or such earlier time as Stanley Brothers USA and Charlotte's Web may agree (the "Triggering Event ") potentially including when otherwise permitted by the policies of the stock exchange on which the Company's securities are listed for trading.
