So this dutch auction eliminates any stock dilution when the conv. notes convert to stock?

As Vegas indicated, the conversion price is set at approx. $77.49. I have bolded the conversion rates/terms below. This conversion will result in a stock dilution of approx. 5,161,640 shares ($400,000,00 / $1000 * 12.9041 shares). IMO, this dilution will be offset to some greater or lesser degree by the current stock buyback program.
