You literally said the company (in the scenario laid out) is trying to keep the share price from getting too high so that a buyer can purchase at $3.50 instead of $5. That is the definition of market manipulation and insider trading. It is a breach of the management's fiduciary duty to its shareholders and is highly illegal. There is no other way to interpret that.
