Interesting new tidbit from the S-1/A:

The Company has been negotiating with both Juan Luis and Javier Gonzalez regarding the registration rights effectiveness provision and has accrued $400,000 through March 31, 2022 as a result of the failure to have the registration statement originally filed in July 2021 declared effective.
