Just to put forward a thought, I believe that settlement funds produced by a derivative lawsuit are still handled as if they were an award via a trial verdict - in other words, the plaintiffs cannot disperse the funds in any manner different from how these funds would be dispersed if it were a jury award.

The basis of the settlement is rooted in the derivative action. The settlement funds have to (IMO) be deposited into the corporation to be divided proportionately.

I am NOT an expert in this area, so it would be prudent if someone researched this. Logic (not always the law's strong point) would seem to support this position.

But since there are folk saying that some shareholders would not participate in the settlement, maybe those on the "inside" have already discovered that the settlement funds don't have to go into the corporate till. Seems unfair - whenever lawyers advance expenses, they get reimbursed right off the top.
