A R/S to restructure the new company doesn't wipe out anyone's interests.

Rosen is taking over a shell from Anderson and the private investors of Tersus are his only concern. Their interests are served by receiving shares of the public company relative to their current holdings in Tersus.

After a R/S, which allows more shares to be issued than are available now, they will be issued shares of GTLL.

You can lead a horse to water. But you can't make him get down on one knee and do an Al Jolson impression!
