Per the Complaint: It's a suit by a former officer who was given a note in settlement of an employment contract dispute. The employer couldn't pay the note so they "sold" him some shares in return for the cancellation of the note.

"Do these lawsuits draw the attention of the SEC?"
I don't think so.
Plaintiff says he was told that the shares were "freely tradeable". They were under a DTC chill and the Defendants said they weren't. (Apparently a verbal assurance).

ps. looks like the shares in question represent less than 1% of the outstanding common.
