But oddly, Carter was the CEO of UOIP and the only person who could cure the delinquencies and the only person who could possibly have committed criminal fraud against shareholders.

But there isn't anyone representing the shareholders as a class or representing any shareholder - so the talk of corporate fraud is just that - talk.
