I'm not a lawyer, but it seems to me that Lemons could be prosecuted for fraud if some of the statements he's made (on social media or in a PR) could be verified as false. To wit, the $950K he said Cerebain invested in PKG on 2/26. Also, the 'Share Exchange Agreement' allegedly signed on 2/12 and made public on 4/26. These statements are more than just aspirations to purchase PKG. Rather, these are physical transactions that, if proven untrue, would show real intent to deceive investors, and therefore prosecutable.

Of course, if the PKG acquisition was all a scam (with PKG principals, such as Jon Frank and Almir Garibovic, playing their part as unwitting dupes), Lemons has to be found in order to be charged with fraud. He may have already flown the coop...
