what one should be concerned with is the fact that nasdaq will look at management and how they conduct business and how they treat their shareholders..because despite what many seem to think, shareholders are important...there can be no nasdaq without them...and they know that...thats why they insist on a board of directors who are charged with protecting shareholder rights...

so if they see that a ceo has a history of disregarding his shareholders and not informing them of pertinent info that directly affects them, it reflects badly on the management...

they know what to look for and they know what they are looking at when they see it...no one has to tell them how to do their job...they are well aware...
