Easiest thing to do is for you to go back and research the facts. I will give you a quick overview of what happened.

When Dr. Hinton took over Terra West the founding papers limited the maximum number of shares to 25,000. The authorized shares could only be changed by a vote where EVERY one of the 25,000 shares voted in favor of any such change. Such vote was NEVER done . . . EVER.

henn, the (crazy) way it was set up was that a vote of 24,999 in favor was not enough to approve any change in the Authorized shares. An absolute total approval of all 25,000 shares was necessary. But regardless, such a vote was NEVER done . . . EVER.

For a long time Dr. Hinton was not only the ONLY employee of the company but, at the same time I believe he was the only member of the BOD. Over a period of time, as money was needed the BOD (Dr. Hinton) approved increases/printing of shares to pay the bills -- HIS COMPENSATION. The Authorized and Outstanding count rose first by the millions, then by the tens of millions and eventually numbered in the HUNDREDS OF MILLIONS.

henn51, if you go back to the time when the name change from ADGI to GTEL was proposed and the move of state of incorporation you will find information given by the company saying that the change of incorporation was NECESSARY to legitimize all shares over the originally allowed 25,000. The 25,000 were legal . . . the others were not.

henn51, if you have followed this or any other GTEM board it has been stated, ad nauseum, that NAKED SHORTING (the sale of shares that do not exist) is rampant. That is exactly what Dr. Hinton did (whether intentionally or unintentionally) with shares #25,001 and up into the hundreds of millions. Those shares were never legally available to be created or sold.

henn51, that is the quick story but it should be relatively easy to find. I would imagine that Rocky has information regarding this issue as he has the best data base on this company.
