Dear Shareholders

With the Shareholder's meeting just two weeks away, I wanted to provide some additional information regarding proxies and the events taking place during the meeting weekend. Based on the response to date, it appears that we will have a nice turnout, and will be filming the meeting for replay on the website.

The official meeting announcement and proxy will be mailed by the accounting firm ADP in the very near future, with the annual report following shortly after. I have requested that ADP contact all brokers within their system to obtain names and addresses of their customers who hold STRU stock. It will be by this list that ADP sends proxies, so all shareholders should receive a proxy and annual report, provided that your broker has a current address. Shareholder's who hold 504 and 505 shares will receive an additional proxy from Olde Monmouth.

Our company charter states that we must receive 51% of voting shares to reach a quorum. If we do not reach 51%, we will have to adjourn the meeting, send out all proxies again, and hold another meeting. As a shareholder, it is your right to vote on the issues which effect this company and the value of your stock. I encourage everyone to return your proxy vote, either by mail or in person at the meeting. As a reminder, those who have common stock as well as 504 and 505 stock should return all proxies that you receive in order to vote ALL of your shares. Copies of the proxy will be available at the meeting and on the website prior to the 28th. ADP will tabulate the votes and we will make an announcement on Monday following the meeting.

I also wanted to make sure that everyone was aware of the various events taking place during the weekend of October 27-29, 2000, here in Charleston. On Friday the 27th, we will have a meeting registration area at the Embassy Suites Hotel, 5055 International Blvd., N. Charleston, from noon until 9:00pm. I will be there a majority of the time to collect proxies and answer any questions about Struthers, the meeting, or Charleston in general. Various Signature Series Struthers' shirts, hats, and cups will be available. On Friday evening, the 27th, a large group of shareholders have arranged to take a harbor dinner cruise aboard the Spiritline Ship. For those interested, reservations may be made by calling 1-800-789-3678 and request to be seated with the Struthers party. While this is not a Company sponsored event, Doug Beatty and Ken Remley will be attending.

The Shareholder's meeting will be held at the Charleston Area Convention Center, with registration and light continental breakfast starting at 8:00am and the meeting beginning at 9:00am. For those staying at the Embassy Suites Hotel, the Convention center is connected by a skywalk. We will have the entire meeting filmed and will offer videos and disks to be available on our website in the weeks following the meeting.

Struthers is sponsoring the dinner on Saturday evening, with a social hour at 6:00pm and dinner at 7:00pm. This dinner is complimentary and, of course, will feature Struthers' pork.
