But, we as FREE AMERICANS, Do have the luxury of living
in a society where we CAN become complacent and comfortable
with our surroundings - HOWEVER, when we do, we tend to forget
WHAT and WHO provided us this luxury.

RE-Group into a cohesive team whenever some SICK MIND from

I really dont like posting on this board anymore because of the negativity here amongst other
reasons. But you mentioned those four magic words "love of the PIG". And I do. So Robert, this
ones for you.
First of all, I want all the people who are running weenie down to stop it because you have really
got it good. All you guys have to do is put up with his crap on this board,I had to ride in a truck
with that guy for three hours today. You have no idea.............never mind.
The reason I go to Waukon to talk with Mariano is to try and stay as close to the company as I
can. When we go there we get no special treatment, we get no insider information and we get
nothing that anyone else couldn't get. But what I do get is a feeling that this company is worth
being invested in. I have met with Mariano five times now and I believe him to be a very driven
man. A man that is a realist, he has a vision and a plan. Mariano is someone who I believe will
make this company run but realizes it has to crawl and walk first. (we are still crawling, but at least
we are crawling forward now) Two weeks ago when I visited with Mariano he told me that he no
longer had anything to fall back on in North Carolina and that Struthers had his full and undivided
attention. He also told me then he had 28 more boxes of paperwork to go through before he was
done going through every document related to this company, today he said he has 4 and he will
be done before the end of September. Everytime we go up there seems to be a new employee
and the employee's say that it's a great place to work. When I used to read this board and listen
to what everyone said about the company I too would get worried. But since I have been going to
see the company and checking it out for myself I have found a whole new confidence in it. Many
people have questioned Mariano's concern for shareholder value but he has taken a public
company on the brink of bankruptcy and turned it around and made it very profitable. I beleive he
will make Struthers very profitable also.
After becoming personally aquainted with both Doug and Mariano it is my belief that this company
not only suffers from market conditions, but also from the difference in the way the two portrayed
(portray) Struthers. Doug had visions of greatness but could not bridge the gap from where we
were to the dream which he sold many investors. Mariano inherited these investors and now has
a difficult task to try and satisfy them. Mariano knows with his reality based way of doing business
that any pr will only be met with people selling because it will not live up to the expectations which
Doug has layed out. I don't think there are any easy answers here but I believe that this is a real
company with real assets and a real chance to succeed.
One more thing before I go. I believe that Bob C. saved this company (though a lot of people wish
he wouldnt have) and he has kept some sort of control since he did. I think that he saw how Doug
was running it, didnt think it would last long and decided to make a change and still has some sort
of control. I dont think he is behind the fall in share price.

STRU Longs ...
the clock is ticking..... and the vast majority of the 505 conversions are coming up in the next 2
weeks. Further there are stipulations in the Alpha deal that necessitate that STRU draws down at least $
2 million by years end....... and far more immediate to Struthers concerns is the ability to continue tapping
those funds...... and the price and volume must move to higher levels..... so the clock is ticking.
so it becomes obvious that the "news" (if there is any) must be released over time, in a manner
that not only moves the price up but sustains some higher level. Is it any coincidence that this past week the IR
firm sent a Struthers information packet to a large number of brokers that Kaplan knows deals with
OTCBB penny stocks. Common sense would tell me that that packet was probably followed up with a phone call
to the most active of these firms to provide further information that perhaps may have been either too
late to get into the report or let's just say .... a little too forward looking for print. IMO the next wave of
investors here have been given a "heads up" on a little biotech company that is about to turn the corner to
profitablity ..... and they are being forewarned about the opportunity that the paragraph above presents. Kaplan
is doing what he was hired to do.
now, lets assume for a moment that if you are a so-called "long" here .... and have been around
for the last couple of years ( sheesh years) you are no doubt frustrated, angry, po-ed, sick, tired, and perhaps even on the road to the poorhouse ...if things don't change soon. Some, I'm sure are simply looking for
any spike whatsoever to simply bail out completely, walk away, and never ever utter the words
Struthers again as long as they live. Most, I believe, are still trying keep their wits about them and
focus upon the very real long term potential that Struthers still possesses (IMO) ..... and "play" this
thing with a small portion of their total holdings, as up to this point those that "played" this thing
apparently are the only ones to have made any money here. At the farther extreme, I'm sure there
are some that invested here and will not sell one share for another 2 or 3 years for whatever
reason.
IMO, it's the folks in the middle group that will exert the greatest influence on the price of this stock
over the next few months as a function of the sheer number of "traders" there might be ..and the
average number of shares that they choose to trade..... which itself is a function of the near term
price expectations and their level of comfort with the long term potential. Further, IMO, if the price
moves up ...a penny, a nickel, a dime .... and if one does not truly believe there is much out there
in the future to move it on up ..... there will be a direct correlation between that and the number of
shares that find themselves in the "tradeables" portion of everyone's portfolio. The less long term
optimism ... the more shares "traded" .... the more volatile the price.... the fewer winners there
are..... Our consensual perception of Struthers long term potential will in fact affect the price per
share in the present .... and in the future...... as todays price affects the float (via the 505s and
the Alpha deal).
Now, Mariano has indicated that they are putting together a so-called business plan for the
shareholders to gain a better understanding of what they are trying to accomplish. It will not,
though, be so explicit that every Tom, Dick, or Competitor will know what they are doing..... and
who they are doing it with. So I would suggest that if anyone vaguely remembers Dr. Carlson's
remarks about how the synergy created by our technology(s) facilitates a pork production system
that is based upon "demand-pull" versus "price-push" ..... please go refresh your memory. In a
nutshell ....that is what I believe Struthers is all about.... and it takes a great deal of time and
patience, and the overcoming of many obstacles to come to fruition........One by one, I happen to
believe that Mariano & Co. is doing that. Whether we, the shareholders, can hang on long enough
to taste the fruit of our longsuffering .......remains to be seen. It really depends on you ....and
which of the aforementioned group of investors you fit into ...... and whether you really know which
group the person(s) you are listening to are in.... and whether you have done your own DD here
..... and believe in your own ability to sift fact from fiction........
Fly solo from this point forward.

if you were doing ok. I think of Indy and even then

I'm sure Beatty is a nice person and probably a swell guy,
but a picuter of a CEO as I PICTURE IT, he was not.
Again, this was my internal thoughts and I ignored them.
Anyway, bridge under the water.
The final chapter? I Believe Struthers will be around
alot longer than you or I and go thru many Presidents/CEOs/CFOs
and PR firms.
I will tell you this. If I was in my Twentys, I would sink money into
Struthers and forget about it for about 5 or 10 years and then RETIRE
very nicely.

NetShoe- Lloyd, my friend, just wanted to say hello. Hope all is well with you, Helena, and all of your loved ones. It seems like a decade has passed since the Pork Expo in June of 2000. It is hard for me to believe that I did not first invest in Struthers until December of 1999. I thought time was supposed to fly when one was having fun! LOL!
What a roller coaster ride of emotions. I think of the time that we spent together in Indy often, and of the tremendous effort that you put into your summary of the history of Struthers. I wonder if perhaps you, or someone else will write the final chapter someday. Whatever the content, it would most definately be a very interesting read, imvho! LOL!

Hey Lloyd! On Kaplan, I did a less thorough check of Kaplan and came to the same conclusion - it is a step in the right direction, but, will likely have a relatively neutral affect. I did find one company whose website seemed to go to an effort to try to dis-associate themselves from Kaplan. I was not impressed with the little I could find, but find it quite surprising that a company that does PRs for public companies does not appear to have their own website. It makes it a little hard to recognize their value if tey cannot even identify themselves. Unless, they want to be that way. Hmmmm!

Hey guys. How's it hanging. I haven't been posting (I refuse to go to the RB board, total waste of time) but I was very pleased to see that we are still hanging around high 6 cents. It seems to be very quiet right now and not much is being said by the company. I hope this Phillipine demonstration gives the company alot of exposure. This is MY OPINION and JUST THAT, I have nothing to support my
opinion except my GUT feeling.
I'm just now getting caught up on whats been happening.
This company has a lot of potential and thats just it, JUST POTENTIAL...
There were at one time many possible contracts in the works and for one reason
or another they(contracts) did not pan out.
I believe this is the reason Doug Beatty was removed from the CEO position.
Point, if he was removed from the CEO position, then obvisously he is not the HEAD-HONCHO
Share price has been in a downward spiral since no contract of substance has materailized.
Current Shareholders will stay in DOUBT and NEW shareholders will stay away UNTIL
this CEO-Less - New President of a Company starts showing some REAL LIFE.
AND MOVING the Corp. office isn't it... May help in the long-run but it won't help the share-price.
It is a STRONG postive NOTE that an investor has agreed to a 10million dollar investment agreement.
It shows that Somebody believes in this company and has the MONEY to back-it-up.
Its just too bad that the shares can't come from the Float instead of the non-issued pile.
At .10cents per share this comes out to 100million shares.

(OTC BB:STRU - news) and its President, Mariano Raigo, are pleased to announce that they have concluded an agreement to provide the Company with up to $10 million of standby equity based financing from an institutional investor.

The reorganization of management was a very huge step in the right direction, and way over due, imo. The fact that the powers to be made this move restored my confidence for the future here. To be honest, for so many reasons that don't need to be reiterated here, I had lost all faith in this company's ability to achieve the potential that I firmly believe It has, as long as Doug was in charge. Can't take away all the good he did in making the requisite acquisitions and building the foundation. However, no excuse whatsoever for what he did and did not do in the past year or so, imo.
It's no secret that the company is relocating to Waukon. This was confirmed by Dave Diebold last week. I think this is a great move. Gourley is there, Legred is a stones throw away, Carlson hails from out that way, and 90 minutes seperates the BSF from the TP distribution center. Hog country. This is where the headquarters should be, imo.
I had the pleasure of spending some quality one on one time with Marianno Raigo at the BSF, and again at the shareholders meeting. He is a very dedicated and well traveled young man, who speaks several languages, has much business savvy, and prime contacts in Europe. Imo, the company will also announce the appoitment of new CEO very soon now; hopefully someone from the food industry.
The exorbinant rate at which the 505s converted should have never transpired, and the dilution to an already healthy float might very well retard any appreciable upward movement in the share price, short to mid term. However,the growth of this company will no longer be retarded now that the proper changes have finally been made, imo, and INVESTORS here, should be very confident that the company's latest move is highly indicative of a commitment to do all possible to achieve success. With all of the potential that we have known about and recognized for so long, I do not see how this company can miss.
It would certainly be nice to hear from you a little more frequently, Mr. Chairman. LOL. Take good care, my best to Helena, and the very best of luck.

Boss hog: Troubleshooter to lead Struthers

Struthers' new president Mariano M. Raigo wants to make two things clear.
Although he does not have the "chief executive" designation of his
predecessor, "I will be running the company," Raigo said. "It's nothing more
than a title."
But Raigo said his role as top officer does not mean he's the featured
performer. The stars are the 42 other employees, Raigo said. "I'm the bus
driver."
Charleston-based Struthers raises and sells hogs using genetic breeding,
sells semen, develops biotech devices for artificial insemination, and
markets and sells its Tender Prime pork products from its own swine herds and
those of family farmers.
Raigo, an Asheville, N.C., business consultant and troubleshooter, was named
president March 19. It's been a busy few months for the young company:
• On April 2, publicly traded Struthers released its earnings report for
2000; the company lost $3.2 million on $3.49 million in sales.
• In the report, Struthers disclosed it had reached a deal in late March for
a $10 million infusion from Alpha Venture Capital Inc., an offshore company
that invests in emerging smaller and midsized companies. (Alpha, for
instance, recently provided $40 million in equity financing to Science
Dynamics Corp., a New Jersey-based online infrastructure company). In
exchange, Alpha gets stock in Struthers.
• The financial news came on the heels of Struthers' five-member board making
a series of top-level changes, including Raigo's appointment.
It ousted Douglas W. Beatty as president, chief executive and chairman. Rhett
C. Seabrook, the company's vice president, no longer has the duties of
secretary and chief operating officer. Seabrook and Beatty, whose background
includes working with motivational speaker Tony Robbins, spearheaded
Struthers' move in late 1998 from Canada to Charleston - which is hometown to
both. They remain on the board.
The new chairman is Richard S. Lane, the company's legal counsel. The new
secretary/treasurer is Dennis Gourley, a doctor of veterinary medicine and
designer of a scope used to assist in nonsurgical reproductive procedures.
The management shuffle followed weeks of speculation, primarily from
shareholders on Internet message boards.
Less than four years old with no appreciable sales until fall 1999, Struthers
nonetheless is one of the more heavily traded stocks on the Nasdaq bulletin
board. It's not uncommon for 1 million or more shares to change hands in a
day. It has 26,000 stockholders, including 2,000 in South Carolina.
Shareholder rumblings escalated in recent months after the company struggled
with its first-time federal securities filings and then reported quarterly
earnings losses. In the meantime, Struthers' stock price - which had risen as
high as $1.21 a share last April - sagged to 9.5 cents a share in March. It
traded last week around 10 cents.
"I think it's a great company and is going to be three years from now," said
Keith Smith, an X-ray technician from Calhoun, La., who recently sold 30,000
shares of Struthers stock while holding onto 20,000 shares.
"I was kind of sucked in with Doug Beatty's charm," he said. The talk last
year was that the stock, trading at 40 cents a share in February 2000, would
zoom as high as $5, Smith recalled. "I was so in love with the company."
Instead, the price tanked.
BIG PLANS
Beatty said Thursday the management change came in an emergency board meeting
by phone. He said it followed a board meeting where he "adamantly opposed"
plans to relocate headquarters to the Midwest to be closer to the company's
farm operations. Beatty said he didn't want to uproot Charleston's
six-employee staff, and noted that sales of its trademarked Tender Prime pork
are primarily in the Southeast.
He said the change in management made sense, since he does not plan to leave
Charleston.
Beatty said he wants to stay involved with Struthers in developing its
business plan.
He said Raigo has helped the company for the past six months integrate its
financial records and computer systems after a series of acquisitions in 1999
and 2000.
"I'm sure he will do a fine job," Beatty said.
The former chief executive said he's most proud of taking over a company that
in 1998 was in tough financial shape, trading a half-cent a share and with
"1,000 unhappy shareholders." In three years, it grew into a diverse company
with 24,000 shareholders and established biotech, supply and swine-breeding
businesses.
In a pre-ouster interview March 6, Beatty said he knew all about the Internet
rumors, but at that time denied he was on the way out.
He acknowledged that Struthers struggled last year. "I'm glad 2000 is behind
us," he said. "Definitely, 2001 is seen as a great year for Struthers," he
said.
Struthers moved into a new expanded office last fall and recently introduced
a new logo with the design of a lighthouse and the slogan "World Leaders in
Animal Reproductive Technology."
Meanwhile, the company planned to come out with catchy products for Tender
Prime such as a half-sized ham called a "Hamlet," he said. Chefs at Johnson &
Wales University whipped up dishes using its meats. Tender Prime pork chops
showed up on the menu at Port City Grille, he said.
Beatty also said he was working on a deal to market Tender Prime meats via TV
commercials produced by the National Shopping Club, whose members can order
food and other goods.
"The TV is a wonderful medium," he said last month.
TIME FOR A CHANGE
In explaining the management shuffle, Raigo said, "The board analyzed
different things. They came to the conclusion it would be better for Mr.
Beatty to pursue other interests. They approached me."
Lane, a New York attorney who helped with the company's securities filings,
said the board selected Raigo because he was seen as the right man for the
job. "So far, he is," the chairman said.
Raigo, in prepared remarks, said, "My immediate goal is to unify our
subsidiaries and focus on the basic concept for which this company was
founded, namely reproductive biotechnology.
"I want the world to know about our high health breeding programs, including
our artificial insemination and embryo transfer."
The new president did not elaborate much in an March 28 interview with The
Post and Courier. "I don't want to telegraph my plays," he said.
He was noncommittal about where the company will be headquartered.
Shareholders have speculated for weeks about a move to the Midwest to be
closer to the operations in Minnesota, Iowa and South Dakota. "We'll have a
presence in Charleston," Raigo said, adding that Struthers also likely will
have a base of operations in the Asheville area.
The new president said that Struthers intends to be ready to assist farmers
worldwide to bounce back from infectious outbreaks such as mad cow and
foot-and-mouth disease.
"When the smoke clears with all the disease going on, we will be able to
supply," he said.
The company also wants to capitalize on its genetic breeding programs, which
"gives the smaller farmer the advantage of the next generation technology,"
he said.
Struthers, meanwhile, has set up corporate entities in Germany and in The
Philippines and is open to "any country that wants our product," Raigo said.
In its first two years as an operating company, Struthers grew through
mergers. The company will continue to look at acquisitions but, "I have
enough on my plate to focus and consolidate the company," he said. Raigo
indicated that goods and products would more likely be sold through
traditional supply routes such as meat packers rather than straight to
customers.
"The direct marketing will not happen the way that he (Beatty) envisioned
it," he said.
The remarks reflect Struthers' earnings report, which noted that sales slid
last year when the company shifted focus from a wholesale meat supplier to
the direct sales strategy.
Meanwhile, the company said it planned to vastly expand its swine herds this
year and to promote its biotech and genetics products and services.
Raigo acknowledged he won't have time to field every call or e-mail from
shareholders. But he said they will be kept informed by way of federal
securities filings, press releases, a newsletter and through the company's
Web site at www.struthersinc.com.
Lane, meanwhile, said he's optimistic about 2001 and is unfazed by the
company's losses last year. "We look forward to move the company, certainly,
into the plus column," he said.

Well, the financials are out and they WERE not as bad as some were expecting.
Still, we all feel like we are in the dark. All lot of changes are taking place
with no REAL explaination as to why or any idea of where we are going -
or trying to get to.
At this point, the best some of us can do is Hold-Tight and hope for the best.
Over on the RB, posters are still trashing STRU as much as ever.
They trash it when it was below .07cents -
They trash it when it was over a 1.00 -
AND they are still trashing it now that the price is around .10cents.
I have not a clue as to what drives these maniacs.

Howdy, MP. Keep in mind that it was also Rancor, I believe, that said that we would see a major announcement of a herd recovery contract with the UK by now.
I'm not saying that he doesn't have a clue. He not only called the firing/resignation of Dr. Beatty, he also correctly stated that Rhett would be demoted to a position of inconsequence, so I believe he may have some good sources. I just wouldn't bet the farm on his predictions.
I would say, though that it's interesting that his rumors/predictions seem to be centering on the UK. Time will tell.

Hello Netshoe and company, I thought I would join this board. Has anyone heard anything regarding the financials? I think rancor's claims may have some truth, why else would the BOD demode/reorg the company? I hope rancor's claims are unfounded but it may hold some truth to it.
