Good Day Tab,

I don't want to get ahead of the company but I believe that they will provide a update to all shareholders as mid November approaches.

The company is very aware that filings need to be updated and is fully cognizant of the repercussions that could ensue such as SEC sanctions if they do not get caught up.

As i said in the last email, the company has multiple documents in the hands of lawyers and other individuals that are responsible for completing the acquisition.

If there were to be any delays it would due almost entirely to PROCESS RELATED items and requirements that need to be addressed before a formal completion can take place (ie signatures, paperwork, memorandums of understanding, etc etc)

I am obviously not a lawyer so i don't have any specific details about these items. Just please note that both Cerebain Biotech and PKG remain steadfast in their commitment to completing this transaction as previously announced by both companies in prior public announcements. Thank you sir.

Looks like a note holder converting warrants they held that created the additional shares. I don’t have any additional information beyond that and Im sure it will be disclosed down the road when the filings are updated as to who and when this event occurred. The company itself Is not diluting nor does it need to finance the acquisition.

One correction I can provide is that when the filings get caught up on it appears that the
First one will be a 10k…not a 10q that was mentioned in the previous email…..thanks

The stock has definitely been moving in heart stopping gyrations that would create anxiety in anyone that’s for sure.

What I can tell you is that everything is on track ….especially the completion of the oldest past due SEC filing …I believe it will be a 10q……within the next 2 weeks
We should be seeing filings getting updated to current on an ongoing basis…pre and post-merger.

As you can see the IHUB board is getting nervous, after the pullback.

The company provided me with an updated SEC filings timetable. The oldest quarterly past due
Filing should be finished in the next 30 days. How soon the next oldest past due filing get posted
remains to be seen.

Its likely that the merger will close and the filings will still be an ongoing project post-merger. Nevertheless the
Company is committed and required to get fully caught up and intends to complete them as soon as possible.

I don’t know what articles you are referring to below nor have I seen them.

I would say that at this point the acquisition timetable is to close it in the next 30 to 45 days from now October 1st 2020 .
Filings such as 10k and 10Qs will take longer and will likely still be in process post-acquisition due to the need to get caught up and coordinating with auditors and so forth.

Look for more news and news about filings to come out in the near term... Keep in mind that this is a rough estimate on the timetable but things are at this point............ IN MY OPINION…..

I was not going to bother you for at least another couple of weeks, But I am sure you read IHUB, I saw a post, that links back to twitter, where a statement says “”PKG was acquired by Cerebain Biotech on September 3, 2020”” https://pbs.twimg.com/media/Ehzi3gLU0AAM0e5?format=jpg&name=large it is supposedly coming from mergr, I do not subscribe to mergr so I cannot search their database.

But when I search https://www.theonlineinvestor.com/mergers/ I see Nothing

When i search SEC filings https://sec.report/Ticker/CBBT I see nothing

OTC Markets https://www.otcmarkets.com/stock/CBBT/news

We bopth know that was the day, we saw the last Press Release, a joint one from PKG Inc. and CBBT, I think maybe someone @ mergr misstated the facts or faked an article and posted on twitter.

I have faked reports before that affected stocks positively and negatively, so when I see something like this I go directly to the Company for comment.

Can you say whether or not CBBT is on track to get filings current?
