Shell wants to get rid of the dual share classes by effectively converting the “A” shares into “B” shares (no 15% withholding on dividends); however, the Dutch government insists that implementing such a conversion would result in Shell’s being hit with a large tax assessment. Shell and the Dutch government are trying to reach a negotiated solution, as far as I know.
