NOTE 1 - ORGANIZATION AND OPERATIONS
King Resources, Inc. (the “Company”) was originally incorporated in the State of Delaware as ARXA
International Energy, Inc. Effective December 1, 2000, the Company changed its' name to King Resources,
Inc. from ARXA International Energy, Inc. and was engaged in oil and gas exploration and development in
Utah, Louisiana and Texas.
On April 2, 2018, a change of control occurred with respect to the Company to better reflect its new business
direction.

The Company intends to enter into a share exchange agreement with the shareholders of a private
corporation organized under the laws of the Republic of China resulting in the private company becoming the
wholly-owned subsidiary of the Issuer. Upon consummation, the Company, through its wholly-owned
subsidiary, will be involved in manufacturing, R&D, sales, service, product application, and education and
training of analytical instruments.
