Stinky hijacked shell. It could be that the new CEO hired a competent securities lawyer and got some good advice. Custodianship shells are ALWAYS shell companies by the SEC's definition.

If they want to lose the "shell" qualification, and would like Rule 144 to be available, they have to become an SEC registrant.
