what's considered an abandonment? I know of one where the CEO didn't do diddly squat to petition the courts to unhalt his stock nor does he have a plan or care to bring it back. But he may respond to messages. Is it possible to takeover the company by convincing the court that you have better interest of shareholders than the ceo?

and when a new person becomes the custodian are all the liabilities still there however absurd they be (golden parachute)?
