Fife can't legally sell any shares while the Company is out of compliance with its filings.
If he fronts them any more money while they are in default he risks losing any attempt at recovery in the Courts. (Judge: "Why would you lend them any more money under those circumstances?")

I don't know what they're spending that initial $850K on but they better either spend it slowly or get on with the filing.
