The SMEV scam
I got a response back from Allen Licht (the last listed officer of the Simulated Environment Concept Inc (SMEV) shell when it stopped doing its Florida SOS filings in 2013).
I emailed him at his latest company ohmps.com (info@ohmps.com) and he responded from his personal gmail email address.
His exact words were
"Thanks for alerting me. This is certainly a scam and we will be active in fighting it. On Monday we will be alerting SEC and FBI. Thanks, Allen Licht"
This will be getting very interesting.
As I said on Friday, whoever is involved in this SMEV scam really messed up by taking this to the point of filing a fraudulent government document (the bogus 8K).
LET'S GO OVER THE DETAILS
Late in the day on August 21st, the articles of incorporation filing hit for a new entity named Simulated Environment Concepts Inc. The new entity used the old address of the public shell SMEV at 20229 NE 15th Ct Miami and listed somebody named Brian Matthews as its sole officer and director. There is no doubt this was created to make people believe that it was a new entity for the publicly traded SMEV shell.

The problem is that the SMEV shell already has a business entity in Florida which has existed since 1993. That entity last did a filing with the Florida SOS in 2013 and has since gone into bad standing

Before the fake new Florida business entity for Simulated Environment Concepts Inc even hit the Florida SOS site late in the day on August 21st, the usual suspects that always show up front loading all these plays that end up seeing fake press releases/fake twitter pages/fake websites/fake filings were already tweeting about the ticker.
Keep in mind that SMEV has not had a corporate event in over 4 years. At the very least, the timing of the alerts just days and hours ahead of what could be considered the first event for the SMEV shell in around 4 years is extremely suspicious.
** Please note. I want to be very clear - I'm not saying that @the6boomin is involved in the creation of any fraudulent documents or filings. I'm just saying that he almost always shows up alerting these fake plays before the fake stuff hits. Possibly the group that creates the fake stuff decides which tickers to use by following the alerts made by @the6boomin.
Tax Fraud is undeniable. The SMEV business entity in Florida is still in bad standing. Those taxes need to be paid if SMEV is active again.
The old entity is and always will be the entity that goes to the SMEV public shell.
The new entity made by this Brian Matthews person does not belong to the public shell.
Since the old owners of the SMEV shell are denying control was passed to Brian Matthews, this is also a case of Corporate Identity theft - making a new entity using the same name as the old in an attempt to hijack a public security.
According to this Brian Matthews person, he had to make a new entity because the other one was in bad standing.
WRONG! It doesn't work that way.
The proper entity can be reinstated. It just requires paying all the back taxes owed to the state of Florida which is a few thousand dollars at least.
That is why this screams scam.
If Brian Matthews had bought the shell from the original owners, he'd have paid all the back taxes owed and done the proper filings with the Florida SOS to have the old officers removed and have himself added as the new manager of entity the proper entity. The old officer would have no doubt wanted their bill with the state of Florida settled and their names removed if they had sold their shell.
But that didn't happen. And now we have the old owners on record confirming that the shell wasn't sold to Brian Matthews.
FINRA is already aware of this. I tried to contact the Transfer Agent but SMEV has no TA according to OTC markets.

On Friday, August 24th, before the close, an 8k was filed for SMEV by this Brian Matthews person.

The 8K was filed through the old old old Edgar page from when the Issuer was known as 5th Avenue Channel Corp (from more than 10 years ago)

The 8K clearly states that on July 18, 2018, the old officers all resigned and control of SMEV was transferred to Brian Matthews.
Allen Licht (per his email to me) denies that a change of control took place.
This 8K constitutes a fraudulent act. The SEC takes it very seriously when their government website is used to commit fraudulent acts.
It is possible that this fake change of control included forged documents.
An important detail about the 8K is that it listed a Port St. Lucie phone number - (772) 236-3264. Port St. Lucie is also the location of the leader of the Fake PR Group - Carlos Reyes.
In order to file the 8K they wouldn't need the old pass codes from the old officers. They'd just need to convince a filing agent that they now have control of the shell.
I think that's why when they set up the new Florida entity they used the old address for SMEV at 20229 NE 15th Ct Miami from 2008 when SMEV last did a filing through its Edgar page.
The 8K also used the 20229 NE 15th Ct Miami address. I guarantee you that this Brian Matthews person did not end up renting the same office that SMEV coincidentally used 10 years ago. In fact, I am sure that Brian Matthews isn't renting that office space at all.
To further this stock manipulation scheme a twitter page was created just this month

The enviro-gro.com domain was registered on 7/21/18 using a private proxy
When you visit the website it says Simulated Environmental Concepts Inc at the bottom and leaves no doubt that they want everybody to know the website was made for SMEV

The website touts some kind of Simulated climate control AI thermostat device then goes on and on about environmental benefits to indoor grow facilities and homeopathic farming methods. Being an indoor grow related business plan they word drop marijuana into the description of the business operations.
To be clear. The website doesn't sell a product.
The pictures are all taken off the internet. They even edited the garden picture moving it into a greenhouse adding a tree and super imposing their imaginary environmental control device.

At the very least, if Enviro Gro Inc was a real company, it should have a business entity registered in Florida (as is required by Florida state law), but it doesn't.

Since the 8K used a date of July 18, 2018 and the website was registered on July 21, 2018, this scheme has been in place for several weeks.
It should be noted that the stock saw a bunch of front loading on June 8th with over 35 million shares in volume on that day. Again some of the usual suspects I often see in the fake plays ahead of the fake stuff hitting were alerting that ticker early on that day when the action started started
Going back even further the same people showed up ahead of a fake marijuana merger rumor that was used to start a short pump & dump on the stock in June of 2017
*** Please note again. I want it to be very clear - I am not accusing any of these twitter users of creating the website or the twitter page or being involved in the 8K filing or Florida SOS filing. I'm just pointing out that it is always the same people that are in these plays first ahead of the fake stuff hitting. It is very possible that the people that actually commit the fraudulent acts are deciding which tickers to buy based on alerts being made by this group.
