Don't think they will issue new shares of the combined company. The shareholders of Marker, which is privately owned, will just get an equal amount of $TPIV shares to the outstanding count at the time of the merger. I don't think it will include the shares issued in the upcoming round of financing though. To accomplish this they will most likely need to increase the authorized share count though which will come to a shareholder vote.
